These Trade Accounts Terms & Conditions apply to approved trade, wholesale, business-to-business and reseller accounts opened with K1 Tech Care Ltd.
They apply only where the customer is acting wholly or mainly for business purposes.
Where a customer is legally acting as a consumer, K1 Tech Care’s consumer Terms & Conditions and statutory consumer rights apply instead.
1. Purpose and Scope
Trade accounts are intended for businesses, repair shops, resellers, installers, institutions, organisations and other professional customers purchasing products or services for business purposes.
By applying for or using a trade account, the customer confirms that they are acting in the course of a business and not primarily as a consumer.
The customer is responsible for providing accurate information about the business and intended use of the account.
2. Trade Account Application and Approval
All trade-account applications are subject to approval by K1 Tech Care Ltd.
We may request information reasonably required to verify the application, which may include:
- business name;
- company or business registration details;
- trading address;
- billing address;
- Contact name;
- telephone number;
- email address;
- website;
- business type;
- Intended use of the account.
We may refuse an application or request additional verification where reasonably necessary for security, fraud prevention, credit assessment or account management.
A trade account is not active until K1 Tech Care confirms approval.
Approval does not guarantee that every future order will be accepted.
3. Account Ownership and Authorised Users
The trade account belongs to the approved business.
The customer is responsible for ensuring that only authorised employees, representatives or agents use the account.
The customer must keep login credentials secure and notify K1 Tech Care promptly if it suspects unauthorised access.
Orders placed using authorised account credentials may be treated as orders placed on behalf of the business unless the customer notifies us promptly of unauthorised activity.
4. Trade Pricing and Discounts
Trade pricing, discounts, promotions and account benefits are offered at K1 Tech Care’s discretion.
Trade prices may differ from retail prices and may vary by:
- customer;
- product;
- product category;
- quantity;
- supplier cost;
- promotion;
- account status.
Trade discounts do not automatically apply to every product, repair, service or special-order item.
We may change future trade pricing or discount structures where reasonably necessary.
A quotation is valid only for the period stated on the quotation. If no expiry period is stated, the quotation will normally remain valid for 7 days, unless withdrawn earlier because of stock, supplier or pricing changes.
A quotation does not guarantee stock until the order is accepted.
5. Confidentiality of Trade Pricing
Trade pricing, special discounts, quotations, account information and other non-public commercial information supplied to a trade customer are confidential.
The customer must not publish, redistribute or disclose confidential trade pricing to third parties except where reasonably necessary for its own internal business purposes.
The customer must not represent K1 Tech Care’s trade price as its own supplier cost to another business in a misleading manner.
6. Orders and Acceptance
All trade orders are subject to:
- stock availability;
- product availability;
- supplier availability;
- pricing;
- account status;
- payment approval;
- K1 Tech Care’s acceptance of the order.
Submitting an order does not automatically mean that the order has been accepted.
We may cancel, amend or refuse an order before acceptance where there is a genuine reason, including:
- stock unavailability;
- supplier discontinuation;
- pricing error;
- product recall;
- account suspension;
- suspected fraud or misuse;
- unpaid balances;
- incorrect product information;
- technical or system error.
Where payment has already been taken and the order is cancelled, any amount legally due to the customer will be refunded.
7. Product Suitability and Compatibility
Trade customers are responsible for checking product suitability before ordering.
This includes, where relevant:
- exact device model;
- model number;
- model revision;
- part revision;
- connector type;
- pin configuration;
- board revision;
- region-specific version;
- compatibility requirements;
- installation requirements.
Product descriptions and images are provided to assist identification but may not cover every technical variation.
Where compatibility is uncertain, trade customers should contact K1 Tech Care before ordering.
Unless K1 Tech Care has expressly confirmed compatibility for the specific customer’s application, the trade customer remains responsible for selecting the correct product.
8. Parts for Installation
Trade customers purchasing parts for installation are responsible for ensuring that installation is carried out by appropriately skilled personnel using suitable tools and procedures.
Parts should be inspected and tested before permanent installation where reasonably practical.
Damage caused by:
- incorrect installation;
- excessive force;
- incorrect tools;
- damaged connectors;
- torn or creased flex cables;
- soldering or heat;
- electrical shorts;
- incorrect power supply;
- incompatible equipment;
- modification;
- misuse;
may fall outside the applicable commercial warranty.
Warranty claims remain subject to the applicable K1 Tech Care Warranty Policy and any mandatory rights applicable to the transaction.
9. Payment
Unless K1 Tech Care has approved credit terms in writing, all trade orders must be paid in full before dispatch or collection.
Payment methods may include card payment, bank transfer, payment link, telephone payment or other methods made available by K1 Tech Care.
We are not required to provide credit, deferred payment or goods on account unless expressly agreed in writing.
We may require payment in advance, a deposit or other reasonable payment security where appropriate.
10. Credit Accounts
Credit facilities are available only where separately approved in writing.
The applicable credit limit, payment period and other conditions will be communicated to the trade customer.
We may review or withdraw credit facilities where reasonably necessary because of payment history, credit risk, account status or other legitimate business considerations.
A trade customer remains responsible for all amounts due even if its own customers have not paid it.
11. Late Payment
Where a trade customer fails to pay a qualifying commercial debt by the agreed due date, K1 Tech Care may exercise its contractual and statutory rights concerning late payment.
Where applicable, K1 Tech Care may claim statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, or such other contractual interest as has been expressly agreed. The statutory rate for qualifying commercial debts is generally 8% per year above the Bank of England base rate.
Where applicable, K1 Tech Care may also claim statutory fixed compensation for the reasonable cost of recovering a qualifying late commercial payment, together with any other recoverable reasonable recovery costs.
We may suspend further trade orders or credit facilities while overdue balances remain unpaid.
12. Payment Reversals and Chargebacks
If a payment is reversed, dishonoured, disputed or charged back, the relevant amount remains payable unless otherwise determined through the appropriate dispute process.
We may suspend the trade account, withhold further orders and seek recovery of outstanding amounts.
Where a trade customer initiates a knowingly false or fraudulent chargeback, K1 Tech Care may provide relevant evidence to the payment provider and take other lawful steps available to it.
13. Delivery and Collection
Delivery methods, prices and estimated dispatch times may vary by order.
Trade customers are responsible for providing accurate delivery information.
Where goods are delivered to the trade customer or its nominated location, the applicable risk and title provisions will be determined by the agreed contract and applicable law.
Where the customer collects goods, responsibility for the goods will pass in accordance with the agreed collection arrangements.
Courier delays, customs delays, weather, industrial action and similar events may affect delivery times.
14. Incorrect Addresses and Failed Delivery
Where a customer provides an incorrect or incomplete delivery address and this causes additional delivery, redelivery or return costs, reasonable costs actually incurred may be charged where permitted by law.
If a trade shipment is refused, uncollected or returned, K1 Tech Care may charge reasonable additional delivery, return, storage and handling costs actually incurred.
15. International Trade Orders
International trade customers are responsible for checking destination-country import requirements.
Unless expressly stated otherwise, international deliveries are normally supplied on a Delivered Duty Unpaid (DDU) basis.
The trade customer is responsible for applicable:
- import duties;
- customs charges;
- local taxes;
- VAT;
- brokerage fees;
- clearance charges;
- other destination-country costs.
Customs clearance delays are outside K1 Tech Care’s reasonable control.
16. Returns and Faults
Trade returns are handled according to the applicable product warranty, any written trade agreement and K1 Tech Care’s Returns & Refunds Policy where relevant.
Trade customers should report suspected faults promptly and, where reasonably possible, before installation or further use.
K1 Tech Care may request:
- photographs;
- test results;
- diagnostic information;
- serial numbers;
- product identifiers;
- installation information;
- return of the product for inspection.
A return does not automatically constitute acceptance of a defect.
K1 Tech Care may inspect returned goods before deciding whether repair, replacement, credit or refund is appropriate.
17. Trade Warranty
The commercial warranty applicable to a trade product or part is the warranty stated on the relevant product listing, sales documentation, written quotation or other applicable agreement.
Different parts and products may therefore have different warranty periods.
The K1 Tech Care Warranty Policy may be used as a reference where applicable, but any specific written trade agreement or warranty expressly agreed with the trade customer will take precedence to the extent permitted by law.
Unless expressly stated otherwise, the commercial warranty does not cover:
- accidental damage;
- liquid damage;
- incorrect installation;
- physical damage;
- misuse;
- modification;
- unauthorised repair;
- normal wear and tear.
This does not exclude any mandatory rights or remedies that apply to the particular B2B contract.
18. Installation and Customer’s End Users
Where a trade customer installs or resells a product, the trade customer is responsible for:
- appropriate installation;
- correct compatibility checks;
- providing appropriate technical information;
- advising its own customers appropriately;
- managing its own end-customer returns and warranties.
The trade customer must not tell an end customer that K1 Tech Care provides a warranty, remedy or service beyond what K1 Tech Care has actually agreed.
The trade customer must not misrepresent K1 Tech Care’s products, services or warranty arrangements.
19. Resale of K1 Tech Care Products
Trade customers may resell products purchased from K1 Tech Care in the ordinary course of their business.
They must not:
- misrepresent the condition of products;
- falsely claim manufacturer endorsement;
- misrepresent K1 Tech Care’s warranty;
- remove necessary traceability markings;
- alter product identifiers for the purpose of misleading customers;
- use K1 Tech Care branding in a way that falsely suggests an agency or partnership.
The trade customer is responsible for its own customer-facing website, descriptions, pricing, returns and business compliance.
20. Product Images and Technical Information
K1 Tech Care may provide product images, descriptions, specifications and technical information to assist trade customers.
Unless expressly authorised otherwise, trade customers must use such information lawfully and must not alter it in a misleading manner.
Third-party trademarks, images and manufacturer content remain the property of their respective owners where applicable.
Nothing in these Terms grants ownership of third-party intellectual property.
21. Account Monitoring and Security
K1 Tech Care may monitor account activity for:
- fraud prevention;
- account security;
- misuse prevention;
- suspicious ordering patterns;
- payment-risk management;
- service quality.
We may contact the registered account contact where verification is reasonably necessary.
Trade customers must notify us promptly of changes to authorised personnel, account ownership or contact information.
22. Fraud, Abuse and Misuse
We may suspend or terminate an account where there are reasonable grounds to suspect:
- fraudulent activity;
- payment fraud;
- repeated abusive returns;
- deliberately misleading information;
- misuse of trade pricing;
- chargeback abuse;
- attempted deception;
- resale or account activity contrary to these Terms;
- unlawful activity.
We may preserve relevant evidence and, where appropriate, provide information to payment providers, insurers, marketplaces, suppliers or relevant authorities.
23. Suspension and Termination
K1 Tech Care may suspend or terminate a trade account where reasonably necessary because of:
- non-payment;
- repeated late payment;
- fraud concerns;
- misuse;
- abusive conduct;
- breach of these Terms;
- significant account-risk concerns;
- insolvency concerns.
Where reasonably practicable, we may notify the account holder before suspension.
Termination does not remove amounts already owed.
Confidentiality, payment, intellectual-property, dispute and other provisions intended to continue will remain effective after termination.
24. Confidentiality
Trade customers must keep confidential any non-public K1 Tech Care information provided specifically for their account, including:
- trade pricing;
- quotations;
- account discounts;
- supplier information;
- account notes;
- commercial arrangements.
This does not prevent disclosure required by law or information that has legitimately become public through no breach of these Terms.
25. Complaints and Disputes
Trade customers should contact K1 Tech Care promptly if there is a problem with an order, service, invoice or account.
We will aim to investigate genuine complaints reasonably and provide an appropriate response.
Trade customers should allow K1 Tech Care a reasonable opportunity to investigate and, where appropriate, resolve the issue before commencing external proceedings, unless urgent legal action is reasonably necessary.
26. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that, and to the extent permitted by applicable law, K1 Tech Care will not be liable for:
- indirect loss;
- consequential loss;
- loss of profit;
- loss of business;
- loss of anticipated savings;
- loss of goodwill;
- loss arising from the trade customer’s own resale arrangements.
For a particular trade order, K1 Tech Care’s aggregate liability will, to the extent permitted by law, be limited to the amount paid for the specific goods or services giving rise to the claim.
This limitation does not apply where prohibited by applicable law.
27. Events Outside Reasonable Control
K1 Tech Care is not responsible for delay or failure caused by circumstances genuinely outside its reasonable control, including major courier disruption, severe weather, widespread infrastructure failure, telecommunications outages, supplier disruption, government restrictions or similar events.
We will take reasonable steps to reduce the impact where practicable.
28. Changes to These Terms
K1 Tech Care may update these Trade Accounts Terms from time to time.
The version applicable to an order will normally be the version in effect when the order is accepted, unless a subsequent amendment is expressly agreed or required by law.
29. No Waiver
Failure to enforce a right immediately does not necessarily mean that K1 Tech Care has waived that right.
A right waived on one occasion does not necessarily prevent K1 Tech Care from enforcing the same provision subsequently.
30. Governing Law and Jurisdiction
These Trade Accounts Terms are governed by the laws of England and Wales.
Subject to any mandatory legal requirements, disputes arising from a trade account or B2B order will be dealt with by the courts of England and Wales.
